These Terms and Conditions govern the sale, supply, installation, and after-sales service of machinery and related products provided by Harikrushna Machines Pvt. Ltd. (HMPL Sterile). By placing an order, issuing a purchase order, or accepting a quotation from HMPL Sterile, the buyer agrees to be bound by these Terms.
“Company” refers to Harikrushna Machines Pvt. Ltd. “Buyer” refers to the individual or entity purchasing products or services from HMPL Sterile. “Products” include machinery, equipment, spare parts, accessories, and related goods supplied by HMPL Sterile.
All quotations are valid for 30 days unless otherwise stated. A contract is formed only when HMPL Sterile issues written order confirmation. Any customization or specification provided by the buyer must be accurate and approved before production begins.
Where engineering drawings or technical documents are provided for approval, the buyer must review and confirm them before manufacturing begins. Delays in approval may result in revised delivery schedules.
Unless otherwise agreed in writing, the standard payment terms are:
Late payments may attract interest charges as per applicable commercial practices.
Products are supplied Ex-Works from HMPL Sterile manufacturing facility unless otherwise agreed. Risk of loss or damage transfers to the buyer upon dispatch or handover to the carrier.
Where installation services are included, HMPL Sterile engineers will support commissioning of equipment. The buyer must ensure the installation site is ready with required utilities, space, and safety arrangements.
Where FAT is agreed, the buyer may attend testing at HMPL Sterile facility. If the buyer does not attend within the agreed timeframe after notification, the equipment may be deemed accepted for dispatch.
HMPL Sterile warrants that its products will be free from manufacturing defects for a period of 12 months from commissioning or 15 months from dispatch, whichever occurs earlier.
The warranty does not cover:
HMPL’s liability under any contract shall be limited to the value of the supplied equipment. HMPL Sterile shall not be responsible for indirect or consequential losses including loss of profit, production downtime, or business interruption.
All designs, drawings, engineering data, and technical documentation remain the intellectual property of HMPL Sterile. Buyers may not reproduce, copy, or reverse engineer HMPL Sterile equipment without written permission.
HMPL Sterile endeavors to maintain availability of genuine spare parts for its equipment models. Customers are encouraged to maintain critical spare parts inventory and consider Annual Maintenance Contracts (AMC) for continued support.
Information submitted through enquiry forms or newsletter subscriptions may be used for communication and service purposes. Personal data is handled in accordance with applicable data protection regulations.
Orders once confirmed cannot be cancelled without written approval from HMPL Sterile. Cancellation charges may apply depending on the stage of production.
HMPL Sterile shall not be liable for delays or failure to perform obligations due to events beyond its control including natural disasters, strikes, pandemics, or supply disruptions.
These Terms shall be governed by the laws of India. Any disputes shall be subject to the jurisdiction of in Ahmedabad, Gujarat.
